4. Service Availability and Modifications

4.1 Service Uptime

While we strive to maintain continuous availability of our Services, we do not guarantee that the Services will be uninterrupted, timely, secure, or error-free. Scheduled maintenance, updates, or unexpected technical issues may result in temporary service interruptions.

6. Payment and Fees

Certain Services may require payment of fees. All fees are quoted in Japanese Yen (¥) and are exclusive of applicable taxes unless otherwise stated. Payment terms will be specified in your service agreement or project proposal.

6.2 Payment Processing

Payments are processed through secure third-party payment processors. You agree to provide current, complete, and accurate payment information. We reserve the right to refuse or cancel any order or service if payment cannot be processed or verified.

6.3 Refunds

7. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, Learn Lab disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that:

8. Limitation of Liability

In no event shall Learn Lab's total liability to you for all claims exceed the amount you paid to Learn Lab in the twelve months prior to the action giving rise to liability.

9. Indemnification

You agree to indemnify, defend, and hold harmless Learn Lab and its officers, directors, employees, contractors, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any rights of another party.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Tokyo, Japan.

You agree to submit to the personal jurisdiction of such courts and waive any objection based on inconvenient forum.

11. Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Services, the parties agree to first attempt to resolve the dispute through good faith negotiations.

If the dispute cannot be resolved through negotiations within 30 days, either party may pursue resolution through the appropriate courts as specified in the Governing Law section above.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. We may also notify you through other means, such as email, if we have your contact information.

Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Services.

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
